(“Competition Rules”)
General Conditions of participation in the Orange unsignedAct Competition
A.Introduction
Welcome to the Orange unsignedAct Competition. If you (you are herein also referred to as “Contestant”) participate in the Orange unsignedAct Competition your participation is subject to the following rules and procedures (the “Competition Rules”). By entering the Competition you are deemed to have read, understood and accepted the Competition Rules. If you continue in the Orange unsignedAct Competition you will be subject to certain further agreements governing the Competition; these are set out in more detail in Section E (3) below (“the Further Agreements”). In addition, if you are selected to participate in the Final Stages of the Competition you will also be required to enter into other additional agreements with certain third parties: these are set out in more detail in Section E(4) below (“the Additional Agreements”). If these Competition Rules are inconsistent with a Further Agreement then, unless stated to the contrary, that Further Agreement will apply but only to the extent of the inconsistency.
The Orange unsignedAct Competition (“the Competition”) is being promoted by Sony Ericsson Mobile Communications International AB, Nya Vattentornet, SE 221 88 Lund, Sweden (“us”, “we” and/or “our”, as the context permits), and hosted and organised by us in association with Orange Personal Communications Services Limited of St James Court, Great Park Road, Almondsbury Park, Bradley Stoke, Bristol BS32 4QJ (“Orange”).
Entry to the Competition is solely via the Competition website (“the Website”) at
www.orangeunsignedact.co.uk
No purchase is necessary for you to enter the Competition. However, you may be subject to local call charges from your internet and/or mobile telephone service provider depending upon their own individual arrangements for access to the internet and/or their mobile telephone services.
It constitutes a condition of entry and participation in the Competition that Contestant has not prior to the entry into the Competition entered and/or will not enter into any agreement in respect of Contestant’s musical performances (e.g. “record deal”) and/or any other agreements in respect of Artist’s personal services and/or rights in connection with the entertainment industry (as set out in further detail under Section E below) with any party other than with a party approved by us until the earlier of (i) the expiration of 6 (six) months after the Final of the Competition; or (ii) 3 (three) months after leaving the Competition. If you have entered into a so-called management agreement and/or a publishing agreement prior to registering for the Competition, you may nevertheless participate in the Competition, but you may not sign such management agreement and/or publishing agreement within the period set out above. Further details regarding management agreements and publishing agreements are found in Section E 5 below.These requirements apply to all Artists participating in the Competition and shall remain valid for a minimum period until the end of Competition, even for such Artists required to leave the Competition prior to the beginning of the Final.
The Competition is not open to employees of Sony Ericsson Mobile Communications International AB and/or Orange Personal Communications Services Limited and/or France Telecome SA, Universal Music, Princess TV Production, Channel 4 and/or their affiliate, subsidiary or other group companies, or such employees’ families, agents or any other person connected with the Competition’s administration. We reserve the right to disqualify any entry which in our sole discretion we deem contrary to the rules or spirit of the Competition.
B.Subject Matter of the Competition Rules
The “Competition” is an audition competition for bands and singer/songwriters which together with further elements is recorded and filmed and forms part of a programme used and exploited including without limitations on and through television, internet and mobile communication devices (such programme and any elements thereof being referred to as “Programme”). The entire Competition shall be supervised on our behalf by a person or entity (“Supervisor”) to be made known to Contestants in reasonable advance to the commencement of the Competition. These Competition Rules govern the Competition. Any individual who enters the Competition as member of the band or as singer/songwriter participating in the Competition (in the following “Contestant”) may do so only on the basis of the Competition Rules, and Contestant agrees to comply with and adhere to the Competition Rules and accepts the Competition Rules as binding rules in respect of the participation in the Competition which Contestant also confirms by Contestant’s signature on all agreements and/or documents provided to Contestant by us, Supervisor and/or any other person authorized to do so on behalf of Supervisor.
C. General Contestant Requirements:
- The Competition is open to artist groups composed only of Contestants (in the following referred to as “Band(s)”) consisting of a minimum of two members of individuals not younger than 16 (sixteen) performing their own repertoire. The Competition is also open to singer/songwriters (singers performing their own repertoire accompanying themselves with a musical instrument, in the following referred to as “Singer”) not younger than 16 (sixteen). Bands and Singers taking part in the Competition shall be collectively referred to as “Artist(s)”. The Competition is open to Artists of all genres and styles of music, for instance pop, rock, soul, urban music.
- Contestants aged under 18 (eighteen) must ensure their application and any agreement entered into during the Competition is reviewed, approved and signed by both parents (unless proof is made that one parent has sole power of representation) or legal guardian (collectively “Guardian(s)”). Signature by the Guardian(s) has to be made in the presence of Supervisor or any person authorized to represent Supervisor. Guardian shall provide documentation providing proof of the legal representation of Contestant.
- The Band must consist of a minimum of two (2) members. At least two (2) members of each Band must ordinarily reside within the UK. Singers must reside within the UK.
- Each Artist should have a repertoire of at least 6 (six) to 7 (seven) of their own songs and be able to complete a live performance of at least 20 (twenty) to -40 (forty) minutes. The Artists are free to choose the language of the song lyrics. The lyrics performed by the Artist may not include words of an explicit or offensive nature.
D. The Competition
The Competition is divided into three phases (“Phases”) such being:
- Phase 1: The Application Phase
- Phase 2: The Audition
- Phase 3: The Final Stages
- The Tour (the “Tour”)
- The Wildcard Show
- The Semi-Final
- The Final
Either a panel of music and entertainment business experts (“Panel”) will decide on the Artists entitled to continue in the course of the Competition or public vote as the case may be and as set out in further detail in the Competition Rules. The Panel might be subject to changes.
It is anticipated that the Competition will continue until the end of January 2009.
Phase 1: The Application Phase
- 1.1.All Artists entering into the Competition must sign up on the official “Orange unsignedAct” website (“Website”) hosted under orangeunsignedact.co.uk. There they can upload a minimum of 1 (one) and a maximum of 3 (three) audio recordings (compositions of the Singer, the Band or any member of the Band only) and a maximum of 1 (one) photograph of the Artist or 1 (one) picture/photograph/piece of artwork. Using the material set out above, the Artist shall create their own virtual “Demo CD” including information on the Artist (members, names, inspiration etc.), provided that such number may vary according to Supervisor’s instructions. The recordings will be available on the Website for streaming in full length. The Artist profiles can be changed during the entire entry period by entering the login data. Uploaded songs, however, cannot be replaced or deleted by the Artist after the Application Phase.
- 1.2.Additionally, the Artists will have the opportunity to use a blogging facility on the Website to introduce themselves in more detail, including the offering of videos, biographies and additional information on the Artist and communicate with the fans. This material will be introduced by the Artist in form of blogs enabling the Artist to add text and one picture or one video per blog post. The Website capacity is limited and the upload of such material may be refused subject to such limitations. Visitors to the Website can post comments, can recommend their favorite Artist, sign up for a newsletter, listen to music and also upload material in connection with the Artist of their choice. The Artists can edit and delete their own blog posts but cannot delete the blog posts of fans or other visitors to the Website.
- 1.3.All material, including without limitation recordings, photos, biographies, video material delivered by Contestant according to the above as well as throughout the Competition (including without limitations according to this Section 1 and Section 5 below) as well as any and all performances rendered throughout the Competition and Program shall be collectively referred to as “Material(s)”.
- 1.4.The use of the Website and the application process completed thereon and the rules governing the submission, uploading, posting and/or otherwise making available of Materials (including the correct format and other technical requirement for the submission of Materials) are subject to the general terms and conditions applicable to and accessible on the Website (“Website Terms & Conditions”) which can be found here. The entry into the application process constitutes acceptance of such Website Terms & Conditions which is separately confirmed by Contestant on the Website.
- 1.5.Materials which you submit in an incorrect, illegible or otherwise invalid format and/or manner and/or which are submitted late and/or are in our opinion in breach of these Competition Rules and/or the Website Terms and Conditions will not be accepted for entry into the Competition and your entry to the Competition under which such Materials were submitted will therefore be disqualified.
- 1.6.Presentation of the Artists: the Website allows the Artists to present themselves to their fans and makes it possible for them to communicate with their fans. Visitors to the Website can post comments, can recommend their favorite Artist, sign up for a newsletter, listen to music and also upload material in connection with the Artist of their choice. The Artist profiles can be changed during the entire entry period by entering the login data. Uploaded songs and videos, however, cannot be replaced or deleted by the Artist after the Application Phase.
- 1.7.The Artists are responsible and liable for the content placed on and/or linked to the Website by the Artist.
- 1.8.The Application Phase shall commence on August 11, 2008 and continue thereafter for a period of 3 (three) weeks followed by up to two weeks of voting.
Phase 2: The Auditions
- 2.1. Approximately 50 (fifty) Artists will be invited to participate in the next round of the Competition, the Auditions. The selection of the Artists to participate in the Auditions shall be made as follows:
- (a) Half of the Artists are selected by public vote by the visitors of the Website.
- (b) The other half of the Artists is selected by a team made up of a record label talent scout and the production team of the Programme (collectively the “Judges”). The Judges are selected by Supervisor at Supervisor’s discretion. The Supervisor may also introduce other Artists to participate in the Competition.
- 2.2.All Artists as invited according to 2.1. above to participate in the Auditions will be formally invited in writing or by email as soon as reasonably practicable (if possible not later than two weeks prior to the First Casting Day). We shall not be obliged to notify any unsuccessful Contestant of our decision. Contestant’s further participation in the Competition, including the Auditions and Recall, is subject to the completion and execution of a separate agreement (”Release Form”) which will be sent to Contestant together with further information (casting dates, venues, requested performances). The full execution of such Release Form and submission of the fully executed Release Form not later than on the first date of the Audition is a material obligation of Contestant and material requirement for Contestant’s participation in the Audition and further participation in the Competition. Essential elements of the Release Form are set out under Section E below.
- 2.3.The Auditions will take place in front of a live audience and a panel of music and entertainment business experts (“Panel”) and will be filmed on tape. The best Artists will be recalled for the next stage of the Competition (“The Tour”).
- 2.4.For show 5 ("Show 5") we shall divide the remaining Artists into two equal sized groups (or the two group sizes shall have a total number of Artists which differs by only one Artist in the event there are an odd number of Artists in Show 5) ("Group A" and "Group B"). There will be two Panels. Group A will perform infront of one Panel and Group B will perform in front the other Panel. The Panel to which each groups performs shall be decided upon by the production team without consultation with the Panels. Each Panel will have the option to to put the Artist through to the Tour ("Yes"), exclude them from the Tour and the Competition ("No") or put the Artist into a category for further consideration ("Maybe"). Artists in the Maybe category will be given the opportunity to perform again infront of both Panels following which both Panel s will jointly decide if the Artist is a Yes or a No. The decisions of the Panel will be final.
Phase 3: The Final Stages
- 3.1.Contestant’s further participation in the Final Stages phase of the Competition is subject to the completion and execution of a further separate agreement (“Participant Agreement”) which will be handed out to Contestants participating in the Final Stages in reasonable advance. Essential elements of the Participant Agreement are set out under Section E (3) below
- 3.2.The Final Stages comprise of following elements:
- (a) The Tour
- (b) The Wildcard Show
- (c) The Semi-Final
- (d) The Final
- 3.3.The Orange unsignedAct Tour (the “Tour”)
- 3.3.1.The Artists selected to further take part in the Competition will go on tour, the Orange unsignedAct Tour (the “Tour”), which shall comprise of approximately four (4) concert gigs and one Wildcard Show (collectively “Gig(s)”.) The Gigs will take place in different venues throughout the U.K. with capacities of approximately 500 (five hundred) to 800 (eight hundred) visitors. The Artists will travel there on the “Club Tour” bus. Further details will be announced to the Artists in reasonable advance. The Artists will have a slot of approximately 15 to 20 minutes each during which they shall perform songs as requested by Supervisor in reasonable advance. The Gigs will be recorded “as live”.
- 3.3.2.The performances during the Tour will take place in front of the Panel and the live audience. The Panel will decide which Artists will be entitled to proceed to the Semi-Final.
- 3.4.The Wildcard Show
After such decision one further Gig (the “Wildcard Show”) will be held in which the Artists which have been eliminated during the Tour (“Wildcard Artist(s)”) shall have the chance to perform a last time to compete for their re-entry into the Competition. One of the Wildcard Artists will be selected by public vote to enter into the Semi-Final. The Wildcard Show is a live recorded performance or a live show at Supervisor’s discretion in a studio location.
- 3.5.The Semi-Final
- 3.5.1.At the end of the Wildcard Show (or early thereafter), Supervisor will inform the Artist which additionally has been selected to participate in the Semi-Final. The Supervisor will then inform all Artists participating in the Semi-Final which song / tasks they will be required to perform at the Semi-Final. The Semi-Finalists may be required to keep the choice of the song(s) and tasks to be performed confidential.
- 3.5.2.The Semi-Final is a live recorded performance or a live show at Supervisor’s discretion in a studio location.
- 3.5.3.At the end of the Semi-Final the viewers (public vote) will decide which Artists are selected to move on to the Final (“Finalist(s)”) and which Artists must leave the Competition.
- 3.6.The Final
- 3.6.1.The Finalists will be invited to perform at the Final. The performances required from the Finalists will be announced to the Artists in reasonable advance.
- 3.6.2.The Final is a live show. At the end of the Final the selection of the winning Artist will be made by public vote.
- 3.6.3.The prize for the winning Artist shall be an artist recording agreement accompanied by a promotional campaign by Sony Ericsson / Orange. We are under no obligation to provide any further prize to the runner-ups of the Competition and any such prize that is offered will be entirely at our discretion and upon terms to be specified by us.
- 3.6.4.The prizes are non-negotiable and non-transferable and no cash alternative in whole or in part of the prize will be offered.
- 4.Additional Tasks
It is anticipated during the Final Stages that each Artist will be required to provide further contributions to the Competition and/or the Program, such as but not limited to web blog entries, guestbook replies, MMS videos per week, photographs, all upon the Panel’s request.
E.General Rules of the Competition
- We reserve the right to change the structure of the Competition as we see fit including without limitation by adding auditions/rounds to the Competition or requesting additional performances from Contestants and/or changing the anticipated recording schedule. We shall use all reasonable endeavours to adhere to the dates and/or schedules set out in these Competition Rules but you acknowledge that given the nature of the Competition all such dates are subject to availability and change, in which event we shall notify you of any such changes via the Website.
- Selection of the Artists entitled to move on to the respective next stage of the Competition will be made by the Panel and/or public vote. There may be more than one Panel on any one voting occasion. The respective procedure and number of Artists entitled to continue will be announced to the Artists in reasonable advance of the respective phase of the Competition.
- It is a condition of entry and participation in the Competition that Contestants will be available as required to participate in the Competition until the date of the Competition Final and agree to and sign up to the agreements presented to them by Supervisor in connection with the Competition and its production, broadcast and further exploitation, (“Further Agreement(s)”) and abide by the terms and conditions of such Further Agreements and the rules, regulations, terms and conditions as devised from time to time by Supervisor including but not by way of limitation the Competition Rules. The full acceptance and full execution of such Further Agreements prior to the entry of Contestant into the respective Phase of the Competition is a material obligation of Contestant and requirement for Contestant’s further participation in the Competition.
The Further Agreements include the following documents which shall be supplemental to the Competition Rules:
- 3.1.The Website Terms & Conditions covering the Application Phase, including the commitment to submit certain Material and make such Material available on the Website, including the assignment of rights to use the Material, in particular the recordings, for purposes of streaming as well as for purposes of the Programme. The Website Terms & Conditions can be found here.
- 3.2.The Release Form covering the Audition including certain obligations in respect of the Artist’s performances in such phases of the Competition and including the assignment of unlimited rights to use the Material, the Artist’s performances and the reproductions of such performances as part of the Programme and its exploitation and use the name, logo, images of Contestants and the Artists for advertising purposes in connection with the Competition and the Programme and certain further obligations.
- 3.3.The Participant Agreement covering the Final Stages part of the Competition, being (i) the Tour and Wildcard Show including further obligations, such as the obligation to participate in the Tour and perform at the various venues selected by Supervisor and including the assignment of further rights in and to the Artist’s performances and the use of the Material, the Artist’s performances and the reproductions of such performances in connection with the advertising of products and/or services of Sony Ericsson and Sony Ericsson’s partners, such as Orange, to the extent that such Material is referenced to as part of the Competition and/or Programme covering further (ii) the Semi Final and Final and including further obligations, such as interviews obligations and including the assignment of further rights in and to the Artist’s performances and the use of the Material, the Artist’s performances and the reproductions of such performances for use with or without connection to the Competition and/or the Programme, such as for purposes of the exploitation of a certain number of recordings of the Artist or images of the Artist though means of mobile technology such as, without limitations, ringtones, wallpapers.
- 3.4.Such other Further Conditions which shall be provided to Contestants by us as soon as is reasonably possible and/or practicable in all the circumstances.
In the event of any inconsistency between the Competition Rules and the Website Terms and Conditions then the Competition Rules shall apply but only to the extent of any such inconsistency.
In the event of any inconsistency between the Competition Rules and the Release Form and/or the Participant Agreement (as applicable) then the Release Form and/or the Participant Agreement (as applicable) shall apply but only to the extent of any such inconsistency.
In the event of any inconsistency between the Release Form and the Participant Agreement then the Participant Agreement shall apply but only to the extent of any such inconsistency.
- Should any Contestant be selected to participate in the Final Stages of the Competition, it is a condition of participation in the Final Stages that Contestant enters into an artist recording agreement with Universal Music (“Recording Agreement”), which will become binding for the winning Finalist and will contain an option for the Contestants entering into the Final Stages but not winning the Final. The Further Agreements and the Recording Agreement shall be collectively referred to as “Additional Agreement(s)”. The Further Agreements set out under Clause E(3.1) through (3.3) above and the Further Agreement must, - as a condition precedent - be signed prior to the Contestants entering into the Final Stages.
- It is a condition of entry and participation in the Competition that Contestant (either as a Singer or any member of a Band) has not entered into any contractual, commercial, sponsorship or other arrangement in respect of his/her musical or performing abilities or the products thereof or in respect of his/her name, likeness, image or biography which might be in breach of the Competition Rules, the Further Agreements or the Additional Agreement or otherwise prevent Contestant from participating in the Programme or the broadcast, promotion, exploitation or sponsorship thereof. It constitutes a further condition of entry and participation in the Competition that Contestant has not prior to the entry into the Competition entered and/or will not during the participation in the Competition enter into any agreement in respect of Contestant’s recorded musical performances (e.g. “record deal”) and/or in respect of Artist’s other personal services and/or rights in the entertainment industry, such as a tour/ concert agency deal and/or a merchandising deal until the earlier of (i) the expiration of 6 (six) months after the Final of the Competition; or (ii) 3 (three) months after leaving the Competition, and/or third party booking agent in respect of Contestant’s live performances prior to and/or during the Competition with any party other than with a party approved by us (the aforementioned agreements being collectively referred to as “Excluded Agreement(s)”). For the avoidance of doubt, a record deal includes without limitations physical and non-physical distribution agreements as well as any investment/funding arrangements in relation to a Contestant’s recording and performance rights. The Contestants are entitled to remain signed to any management agreement they have entered into prior to the entry into the Competition. In the event any such management agreement is in existence, Contestant shall ensure that its respective management company / manager (“Manager”) shall not interfere with or otherwise detract from Contestant’s obligations under the Competition and/or under the Further Agreements and Additional Agreement. As a precondition to be entitled to continue in the Competition from the Auditions onward, aforesaid shall be confirmed by Manager by executing and returning to us the Compliance Sheet which is sent together with the Release Form at the beginning of the Auditions. The Contestants are also entitled to remain signed to any publishing agreement they have entered into prior to the entry into the Competition. In the event any such publishing agreement is in existence, Contestant shall ensure that its respective publishing company (“Publisher”) shall not interfere with or otherwise detract from Contestant’s obligations under the Competition and/or under the Further Agreements and Additional Agreement. As a precondition to be entitled to continue in the Competition from the Auditions onward, aforesaid shall be confirmed by Publisher by executing and returning to us the Compliance Sheet which is sent together with the Release Form at the beginning of the Auditions.
- Contestants warrant and guarantee that they will not submit Material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless Contestants are the owners of such rights or have permission from their rightful owners. Contestants warrant and guarantee that they will not publish falsehoods or misrepresentations that could damage any third party; submit material that is unlawful, obscene, defamatory, libellous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offence, give rise to civil liability, violate any law, or is otherwise inappropriate; post advertisements or solicitations of business other than the Artist’s performances as musical artist group and/or impersonate another person.
- As part of Contestants´ contribution to the Programme, Supervisor may request Contestants to participate in any online/interactive activity relating to the Programme including without limitations recording of web-, and mobilecasts, interviews and participation in so-called “chat-rooms” as well as further obligations as set out in the Agreements.
- In the event a Contestant taking part in the Final Stages is approached by the media (including without limitations press, TV, radio, internet agencies), for an interview, statement or other reason any such request shall be forwarded to Supervisor (or any person authorized by Supervisor to represent Supervisor). Contestant will not provide the media with any photographs, images, likenesses, audio and/or audio-visual material related to Contestant. Any dealing with the media shall be co-ordinated solely by Supervisor. Contestant is required to inform the media approaching Contestant to the above requirements and shall refuse to assist the media in this regard.
- Our’s and/or Supervisor's and Panel’s decision is final and Contestants acknowledge that the interests of the Programme shall override those of any Contestant and/or any contributor subject at all times to the provisions of Section E (15) below). Any reference to “public vote” in these Competition Rules means the vote exercised by the (viewing) public (Website visitors, live audience, TV viewers, etc.) by SMS, online and/or any other device and/or system as determined by us. The rules of procedure in respect of such public vote (including “Wildcard” votes) shall be revealed by Supervisor to Contestants in reasonable advance to the voting in order to ensure a fair and transparent voting system. The voting system may be changed by us at any time at our sole discretion. No correspondence or discussion concerning the Competition will be entered into.
- We reserve the right to ask Contestant to perform a specified song or song from a specified genre of his own choice. At all times during the Competition we reserve the right of veto over the choice of song, even where Contestants are permitted to select the song they wish to perform.
- We have the right at any time to require proof of identity and/or eligibility. Such might include the review of any pre-existing Excluded Agreements between Artist and third party regarding. Failure to provide such proof within a reasonable time could result in disqualification from the Competition. All personal details and information requested by and supplied to us and/or Supervisor by each Contestant must be truthful, accurate and in no way misleading. We reserve the right at any time to disqualify any Contestant from the Competition or auditioning process in its sole discretion, should Contestant in the opinion of us and/or Supervisor be in breach of any term of these Competition Rules and/or the Additional Agreements, and/or should Contestant at any stage supply untruthful, inaccurate or misleading personal details and / or information, and/or be or have been the subject of any proceedings in respect of any criminal convictions and/or unspent convictions whether prior to and/or during the Competition (other than driving offences which have not resulted in a ban or a more serious sentence).
- We reserve the right to amend the Competition Rules or terminate the Competition at any time without any liability to any Contestant. We further reserve the right to replace at our and/or Supervisor’s discretion any Contestant who for any reason fails or is disqualified from or unable to participate in the Programme and / or Competition with another replacement Contestant, notwithstanding that such replacement may have been previously eliminated from the Competition.
- There is no obligation on the part of us, Supervisor and/or any other party involved in the production and/or exploitation of the Competition and the Programme to record or broadcast any part of the Competition in which a Contestant has appeared or any part of his / her contribution to the Competition and/or Programme.
- Contestant must all times behave appropriately when taking part in the Competition observe the Competition Rules and any other rules or regulations in force at the studios and / or locations, clubs. We and/or Supervisor reserve the right in our and/or its absolute discretion to remove from the Competition, studio premises or location any Contestant who breaks such rules and/or fails to behave appropriately and to disqualify such Contestant. We and/or Supervisor equally reserve the right to reintegrate any Contestant into the Competition, in particular in the event of the necessity to replace a disqualified Artist. The Artists remain prepared to re-enter the Competition upon such request. We and/or Supervisor also reserve the right to re-invite Artists having been voted out of the Competition (e.g. for purposes of replacement).
- In the event that as a result of the public vote in any round, two (or more) Contestants are tied, we and/or Supervisor shall be entitled to determine in our and/or its absolute which Contestant is eliminated and /or which Contestant goes through to the next round (as appropriate) and for this purpose it shall be entitled to make such arrangements or request such further performances from Contestants as it in its absolute discretion deems necessary.
- In the event of any dispute concerning the operation of any element of the Competition or these Competition Rules, the decision of us and/or Supervisor will be final.
- These rules are additional to and do not supersede any and all release forms signed by Contestant and in the event of any conflict between any Agreements and these Competition Rules, the Agreements will prevail.
- We will not be liable for any technical, hardware or software failure of any kind or lost or any failure, error or unavailability of the Website or any unavailable network connections which may limit or prohibit your ability to participate in the Competition, nor for incorrect email or postal addresses or for other problems with entries that are outside of our control.
- These Competition Rules shall be governed by and construed in accordance with English law and the parties submit to the exclusive jurisdiction of the English courts.
- If any provision of these Competition Rules are adjudged by a court to be void or unenforceable such provision shall in no way affect any other provision of these Competition Rules, the application of such provision in any other circumstance or the validity or enforceability of these Competition Rules and such provision shall be curtailed and limited only to the extent necessary to bring it within legal requirement.
